Introduction
These Terms and Conditions ("Terms") govern your access to and use of the websites, products, applications, APIs, AI-assisted tools, testing tools, dashboards, documentation, and related services operated by QUAGIX INNOVATIONS (OPC) PRIVATE LIMITED ("Quagix", "we", "us", or "our"), including TestFabric, Automata, Validox, TestComposer, LoadVertex, and related services.
By accessing or using our Services, you agree to these Terms. If you do not agree, you must not use the Services.
1.1 Services Covered
These Terms apply to all Quagix websites, products, dashboards, APIs, AI-assisted tools, generated outputs, downloadable artifacts, scripts, logs, reports, and related services.
Current products covered include TestFabric, Automata, Validox, TestComposer, and LoadVertex. Quagix may add, modify, rename, suspend, or discontinue products or features at any time.
1.2 Beta / Early Access Services
Certain features, modules, integrations, AI-assisted capabilities, or early-access offerings may be provided as beta, preview, experimental, or evaluation services.
Such features may contain bugs, errors, interruptions, incomplete behavior, inaccurate outputs, changing behavior, or limited support and are provided on an "as-is" and "as-available" basis.
Quagix may modify, restrict, suspend, discontinue, reset, or transition such features over time.
1.3 Eligibility and Account Responsibility
You may use the Services only if you are legally capable of entering into a binding agreement or are using the Services on behalf of an organization that has authorized you to do so.
You are responsible for account confidentiality, all activity under your account, accurate account information, and compliance with applicable laws, these Terms, and product-specific rules.
You must not share accounts, misuse credentials, bypass access controls, or allow unauthorized users to access the Services through your account.
1.4 Authorized Testing Only
You may use Quagix products only on systems, websites, applications, APIs, networks, environments, or data that you own, control, or are expressly authorized to test or access.
You are solely responsible for obtaining all required permissions before using the Services to test, scan, automate, access, analyze, generate traffic against, or interact with any system.
You must not use the Services for unauthorized testing, hacking, credential theft, abuse, malicious automation, denial-of-service activity, unlawful scraping, bypassing security controls, or any activity that may harm third parties.
1.5 AI-Assisted Outputs
The Services may generate test cases, automation scripts, API tests, load test artifacts, reports, recommendations, logs, summaries, or other outputs using AI-assisted systems.
AI-generated outputs are provided for assistance only and may be incomplete, inaccurate, insecure, unsuitable, outdated, or incorrect.
You are responsible for reviewing, validating, testing, and approving all outputs before use, especially in production or customer-facing systems.
1.6 User Content and Product Data
You may provide or generate content through the Services, including test cases, URLs, prompts, API details, request and response data, headers, configuration files, screenshots, DOM metadata, scripts, logs, reports, and other artifacts ("User Content").
You retain ownership of your User Content, subject to rights necessary for Quagix to operate, provide, secure, improve, debug, and support the Services.
You grant Quagix a limited license to process User Content for product functionality, history, support, abuse prevention, security, billing, and product reliability improvements, subject to privacy commitments.
1.7 Sensitive Information
Avoid submitting passwords, secret keys, production tokens, private keys, regulated personal data, confidential customer data, or highly sensitive information unless strictly necessary and authorized.
If you submit sensitive information, you are responsible for ensuring permission and legal compliance.
Responsibility for Submitted Data and External Processing
You acknowledge that Quagix products may process User Content using third-party service providers, including AI/LLM providers, cloud infrastructure providers, payment processors, analytics providers, communication providers, monitoring tools, and other vendors that support operation of the Services.
You are responsible for ensuring that any data you submit to the Services, including personal data, customer data, employee data, logs, screenshots, API payloads, headers, credentials, confidential information, production-like data, or regulated data, is lawful for you to upload, transmit, process, and use with Quagix and its service providers.
You are responsible for obtaining and maintaining all required rights, permissions, notices, consents, lawful bases, contracts, and authorizations required under applicable laws, including the GDPR, India DPDP law, and other privacy and data protection laws that may apply to you, your organization, your customers, employees, users, or projects.
Quagix is not responsible for determining whether your submitted data complies with laws, contracts, internal policies, customer obligations, employee obligations, confidentiality duties, or privacy requirements that apply to you or your organization.
Quagix is responsible for processing submitted data according to these Terms, the Privacy Policy, applicable product documentation, and reasonable technical and organizational security practices designed to protect the Services.
Where possible, you should avoid submitting unnecessary personal data, production credentials, secrets, regulated data, or confidential third-party data. You should use anonymized, masked, minimized, or synthetic test data when it is suitable for your testing purpose.
1.8 Credits, Billing, Taxes, and Payments
Quagix may offer paid credits, top-ups, or other usage-based billing models. QUAGIX does not require monthly lock-in subscriptions unless explicitly stated for a specific plan.
Unless otherwise stated, credits are prepaid usage units, non-refundable, and expire 30 days after the latest successful paid recharge or allocation unless otherwise specified. QUAGIX may offer starter credits, beta credits, or promotional credits from time to time. Such credits have no cash value.
GST, taxes, duties, or other charges may be shown separately at checkout. Pricing, credit consumption rules, expiry rules, and product limits may change over time.
Payment processing may be handled by third-party providers, including Razorpay where applicable.
1.9 Refunds and Cancellations
Refunds, cancellations, failed payments, duplicate payments, and credit expiry are governed by our Refund and Cancellation Policy.
Consumed credits are generally non-refundable except where required by law, duplicate payment, failed payment capture, or platform-confirmed failed charged generation handled through credit restoration or platform credit. Free, beta, trial, or promotional credits are non-refundable and have no monetary value.
1.10 Product-Specific Terms
Additional operational rules apply to specific Quagix products.
1.10.1 TestFabric and Automata
You are responsible for verifying that generated automation scripts are safe, accurate, and appropriate before execution.
You must not use generated scripts to access, test, scrape, overload, or manipulate systems without authorization.
Cloud and hybrid/local execution modes may involve different technical responsibilities.
1.10.2 Validox
You are responsible for ensuring that API endpoints, request bodies, headers, authentication data, and test data submitted to Validox are authorized and lawful.
You must not submit third-party credentials, tokens, customer data, or confidential API payloads unless authorized.
1.10.3 LoadVertex
You must use LoadVertex only for authorized performance, load, or stress test planning.
You must not use LoadVertex-generated artifacts to generate traffic against systems that you do not own or have permission to test.
1.11 Acceptable Use
Your use of the Services must comply with our Acceptable Use Policy.
Quagix may suspend or terminate access if usage violates these Terms, creates security or legal risk, harms others, abuses the platform, or may damage Quagix systems or reputation.
1.12 Third-Party Services
The Services may integrate with or depend on third-party services, including hosting providers, analytics tools, payment processors, email providers, AI service providers, or user-selected external systems.
Quagix is not responsible for third-party services, websites, platforms, APIs, outages, errors, pricing, terms, or privacy practices.
1.13 Intellectual Property
Quagix owns all rights, title, and interest in the Services, software, product designs, platform code, workflows, interfaces, models, trademarks, logos, documentation, and related intellectual property.
You must not copy, modify, reverse engineer, decompile, resell, sublicense, exploit, or create derivative services based on Quagix products except as expressly permitted.
Subject to these Terms, you may use generated outputs for your internal testing, development, and quality engineering purposes.
1.14 Service Changes and Availability
Quagix may update, modify, suspend, restrict, or discontinue any part of the Services at any time.
We do not guarantee uninterrupted availability, error-free operation, permanent storage, or compatibility with all systems, browsers, tools, frameworks, APIs, or environments.
1.15 Disclaimers
The Services are provided on an "as-is" and "as-available" basis.
To the fullest extent permitted by law, Quagix disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, and reliability.
1.16 Limitation of Liability
To the fullest extent permitted by law, Quagix shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, data, goodwill, or system availability.
Quagix is not responsible for unauthorized testing, misuse of generated outputs, user-submitted data, third-party services, payment provider issues, user environment failures, or damage caused by scripts, tests, API calls, or load artifacts executed by users.
1.17 Indemnity
You agree to defend, indemnify, and hold harmless Quagix, its directors, employees, contractors, affiliates, and partners from claims, damages, liabilities, costs, and expenses arising from your use of the Services, User Content, violation of these Terms, misuse of outputs, unauthorized testing, or violation of third-party rights or applicable law.
1.18 Suspension and Termination
Quagix may suspend or terminate access to the Services if you violate these Terms or applicable policies, create legal/security/operational/reputational risk, fail payment, misuse credits/accounts/APIs/outputs, or continue access in a way that may harm Quagix, users, or third parties.
1.19 Governing Law and Jurisdiction
These Terms are governed by the laws of India.
Subject to applicable law, courts located in Bengaluru, Karnataka, India have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.
